Slade Marketing Pty Ltd as trustee for the Slade Marketing Unit Trust ACN 600887205 of 14 Palmer Court, Mount Waverley, Victoria 3149 (SM) operates the SladePlus loyalty program (Program) in participating Slade pharmacies (each a SP Pharmacy) in accordance with these terms and conditions (Conditions). Not every Slade pharmacy may be a SP Pharmacy. The identity and location of the SP Pharmacies are subject to change without notice. The loyalty card issued to you in connection with the Program (Card) remains the property of SM. Your Card can only be used by you (or the secondary cardholder authorised by you) in SP Pharmacies. By applying to join the Program, or by using your Card, you agree to be bound by these Conditions.
1. Membership Eligibility
Only individual natural persons who reside in Australia are eligible to be a member of the Program. The Card cannot be used in connection with a business and must only be used by you (as the registered cardholder) or your authorised secondary cardholders (but you remain liable for any acts or omissions of those persons in connection with such use). Limit one Card per person. If you are under the age of 18, your parent or guardian must co-sign the Program application form and will be bound by these Conditions separately and in addition to you. Proof of age may be required. To be eligible for a Card, you must purchase a minimum of $1 in a single transaction in a SP Pharmacy on the date of your application (Eligibility Criteria).
2. Membership Applications
In order to apply to receive a Card, you must complete the Program application form available in-store at SP Pharmacies. Applicants are required to provide to SM, at a minimum, their name, address, gender, date of birth, mobile phone number and email address (Information). SM does not charge an application fee for the Program, but reserves the right to charge for replacement or additional Cards. After you complete the Program application form (including the Information) and meet the Eligibility Criteria, if SM accepts your application, you will be issued with a Card by the SP Pharmacy (as agent for SM). Your Card will be activated and ready to use when issued. SM (or the SP Pharmacy as its agent) reserves the right to accept or reject your application, and to categorise you as a ‘VIP’ member (VIP) in its sole discretion.
3. Use of the Card
You can use your Card by presenting it at the in-store register when purchasing Eligible Items at SP Pharmacies after the time of issue of the Card. Eligible Items are any goods (excluding gift vouchers and lay-buy purchases) for sale in a SP Pharmacy other than:
(a) PBS prescription items;
(b) baby formula;
(c) any other items, offers or promotions that SM or a SP Pharmacy determines or advertises (from time to time) as being excluded from the Program; and (d) any items where the accrual of SPC (as defined in clause 4 below) on those items would be prohibited by law. Each SP Pharmacy reserves the right to refuse your Card if it is presented at the in-store register after the transaction has commenced. The Card is not a credit card or charge card, is not transferable and remains the property of SM. Keep your Card in a safe place. You must notify SM if your Information changes or if your Card is damaged, unusable, lost or stolen on 03 8420 0700 or by email (firstname.lastname@example.org). If your Card is lost or stolen, any SPC used before the time you report it to SM as lost or stolen will not be replaced.
4. Earning SPC
F or purchases of at least $1 in a single transaction of Eligible Items in a SP Pharmacy made using the Card, you will earn credit called ‘SladePlus Cash’ (SPC) at a rate of 5 cents of SPC for every $1 paid for such Eligible Items (Rate), and the accrued SPC will be added to the balance of SPC on your Card within approximately one hour. SM may also determine (in its sole discretion) that a different or bonus Rate of SPC is earned by VIPs or in relation to bonus offers or special promotions from time to time, including but not limited to in relation to specified Eligible Items or transactions at SP Pharmacies. Any SPC issued, earned or accrued as a result of fraud, dishonestly or error or that relates to a transaction that is cancelled or refunded (for any reason) will be cancelled by SM and debited from the balance of SPC on your Card. Any tampering, defacing or unauthorised use of a Card will render the Card invalid. You can check your SPC balance of your Card at a SP Pharmacy.
5. Redemption of SPC
You can redeem SPC by using it in part or full payment for Eligible Items in SP Pharmacies. SPC can only be used by the person on whose Card it was validly issued or accrued. SPC cannot be used to purchase products on lay-by. The redemption of SPC in conjunction with other promotions and offers is subject always to the sole discretion of SM from time to time. SPC and any benefit conferred on you in connection with the Program is not property or cash, does not have any cash or monetary value, cannot be redeemed for cash, and cannot be sold, transferred, assigned or otherwise dealt with except in accordance with these Conditions. To avoid doubt, you will not receive a cash refund if the SPC balance on your Card exceeds the price of the items purchased using SPC and you cannot exchange SPC for cash or currency. SPC expires two (2) years after SPC was earned or accrued, unless otherwise determined by SM in writing.
6. Other Benefits
Third parties may (from time to time) offer you benefits in connection with your Card from time to time. Additional conditions will apply to promotions from third parties in relation to the Card.
7.1 SM may at any time (in its sole discretion and without prior notice to you):
(a) vary these Conditions, including but not limited to varying the Rate and the value, length or validity of the SPC;
(b) suspend, terminate or cancel the Program or its agreement with you or your membership of the Program, in whole or in part; and / or
(c) suspend or cancel your Card or any or all of the SPC issued to or accrued by you.
If your membership of the Program is terminated, you will not be eligible to accrue or redeem SPC. If your membership of the Program is suspended, you will not be eligible to accrue or redeem SPC for the duration of the suspension.
7.2 Without limiting clause 7.1, SM may (from time to time in its sole discretion without notice) vary these Conditions, and it will endeavour (but is not obliged) to notify significant variations to you by email, SMS or post (in accordance with the Information provided by you to SM) or by notice displayed in a SP Pharmacy.
7.3 You can terminate your Card at any time by notifying SM in writing (email email@example.com). A ll SPC accumulated by you as at the termination date will automatically be forfeited.
7.4 You acknowledge and agree that:
(a) a Slade pharmacy does not have any authority to make any representation, warranty or statement on behalf of SM in relation to the Program, except where otherwise stated in these Conditions; and
(b) any goods supplied on redemption of SPC are supplied by the relevant SP pharmacy and not by SM. SM and each Slade pharmacy are not liable for each other’s acts or omissions.
7.5 To the extent permitted by law and subject to clause 7.4, SM and all Slade pharmacies exclude all liability for loss and damage (including direct, indirect, special or consequential loss and loss of opportunity) howsoever arising in connection with:
(a) the exercise of their respective rights and discretions under these Conditions, including but not limited to the rights referred to in clauses 7.1 and 7.2;
(b) any delay in replacing a lost, stolen or damaged Card; (c) the operation, suspension or termination of the Program or your membership of the Program (including the accrual and redemption of SPC, and any delays, errors or omissions in recording the accrual and redemption of SPC).
7.6 Nothing in these Conditions is intended or will be construed as excluding, restricting or modifying or having the effect of excluding, restricting or modifying the application of all or any of the provisions of Div 1 of Part 3-2 of the Australian Consumer Law. SM’s liability in respect of any Consumer Guarantees which cannot be excluded under the Australian Consumer Law is limited to credit against purchases of Eligible Items equivalent to your SPC balance.
7.7 Any tax, liability or duty incurred by you in connection with the Program is your responsibility.
